1. Acceptance of Terms

Welcome to Lease Easy AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lease Easy AI ("Company," "we," "us," or "our") governing your access to and use of our lease and fixed asset management software, including any related services, features, content, and applications (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Service

Lease Easy AI is a cloud-based software-as-a-service (SaaS) platform that provides:

• Lease accounting and ASC 842 compliance management
• Fixed asset tracking with book and tax depreciation calculations
• AI-powered document scanning and data extraction
• Automated journal entry generation
• Financial reporting and analytics
• Multi-entity and multi-currency support
• API access for integrations (Enterprise plan)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your account information to keep it accurate and current.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using strong passwords and enabling two-factor authentication when available

We will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. The Service is intended for business use; you represent that you are using it for business or professional purposes.

4. Subscription Plans and Pricing

4.1 Plan Options

We offer the following subscription plans:

• Starter (Free): Limited to 3 leases, 10 assets, 1 user — $0/month
• Professional: Unlimited leases and assets, up to 3 users, advanced features — $9.99/month or $95.90/year (20% savings)
• Enterprise: Unlimited everything, AI scanning, API access, unlimited users — $19.99/month or $191.90/year (20% savings)

4.2 Pricing and Payment

Prices are listed on our website and are subject to change with 30 days' notice. Payment terms:

• Paid plans are billed monthly or annually in advance
• Monthly subscriptions can be cancelled anytime with a refund for the current billing period
• Annual subscriptions are non-refundable after 30 days from purchase
• You authorize us to charge your payment method on file for all applicable fees
• All subscriptions automatically renew unless cancelled before the renewal date
• Prices are exclusive of applicable taxes, which will be added where required

4.3 Free Trial

We may offer free trials at our discretion. At the end of a trial period:

• You will be automatically enrolled in the Starter (Free) plan unless you select a paid plan
• No payment information is required to start a trial
• Trial features may be limited or differ from paid plans

4.4 Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Changes take effect:

• Upgrades: Immediately, with prorated charges
• Downgrades: At the end of your current billing period

5. Cancellation, Refunds, and Auto-Renewal

5.1 Automatic Renewal

All paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for each renewal period.

• Monthly subscriptions: Automatically renew every month on the same date you originally subscribed
• Annual subscriptions: Automatically renew every year on the same date you originally subscribed

You will receive a reminder email before each renewal. You may cancel auto-renewal at any time through your account settings.

5.2 Monthly Subscription Refund Policy

Monthly subscriptions may be cancelled at any time. If you cancel your monthly subscription:

• You will receive a prorated refund for the unused portion of your current billing period
• Your access to paid features will continue until your refund is processed
• Refunds are typically processed within 5-10 business days
• You may re-subscribe at any time at the then-current rates

5.3 Annual Subscription Refund Policy

Annual subscriptions are non-refundable after 30 days from the date of purchase or renewal.

• Within 30 days: You may request a full refund of your annual subscription
• After 30 days: No refunds will be issued for annual subscriptions. You will retain access until the end of your annual billing period
• This policy applies to both initial purchases and automatic renewals

5.4 Cancellation by You

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Monthly subscribers will receive a prorated refund for the current period
• Annual subscribers will retain access until the end of their paid period (no refund after 30 days)
• Your data will be retained for 30 days after your subscription ends, then permanently deleted
• You may export your data before cancellation

5.5 Cancellation by Us

We may suspend or terminate your account if:

• You breach these Terms
• Your payment method fails and is not updated within 21 days
• We reasonably believe your use poses a security risk
• Required by law or regulatory authority

5.6 Other Refund Circumstances

Refunds may also be issued at our sole discretion in cases of:

• Service outages exceeding our SLA commitments
• Billing errors or duplicate charges
• Other circumstances we deem appropriate

6. User Responsibilities and Acceptable Use

6.1 Your Responsibilities

You agree to:

• Use the Service only for lawful business purposes
• Provide accurate information and maintain its accuracy
• Comply with all applicable laws and regulations
• Maintain the security of your account
• Not share account credentials with unauthorized users

6.2 Prohibited Uses

You may not:

• Use the Service for any illegal purpose or to violate any laws
• Attempt to gain unauthorized access to our systems or other accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers) without our written permission
• Resell, sublicense, or redistribute the Service without authorization
• Upload malicious code, viruses, or harmful content
• Infringe on intellectual property rights of others
• Use the Service to store or transmit content that is defamatory, obscene, or offensive

7. Your Data

You retain all ownership rights to the data you upload, enter, or create using the Service ("Your Data"). We claim no ownership over Your Data.

7.2 License to Us

You grant us a limited, non-exclusive license to use, store, process, and display Your Data solely to provide the Service to you. This license terminates when you delete Your Data or close your account.

7.3 Data Accuracy

You are responsible for the accuracy and legality of Your Data. We do not verify or validate the accuracy of financial information you enter. The Service provides calculations based on the data you input; you are responsible for reviewing outputs for accuracy.

7.4 Backup and Export

While we maintain regular backups, you are encouraged to maintain your own backups of Your Data. You may export Your Data at any time through our Data Management features.

7.5 Data Privacy

Our collection and use of Your Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content (excluding Your Data), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not include the right to:

• Modify or create derivative works of the Service
• Copy, distribute, or publicly display any part of the Service
• Use our trademarks without prior written consent

8.3 Feedback

9. AI Features and Automation

Our Service includes AI-powered features such as document scanning, data extraction, and compliance recommendations. You acknowledge that:

• AI features provide suggestions and automated outputs that may contain errors
• You are responsible for reviewing and verifying all AI-generated content
• AI recommendations do not constitute professional accounting, legal, or tax advice
• We continuously improve our AI, which may change outputs over time

9.2 Human Review Required

All financial calculations, journal entries, and compliance determinations generated by the Service should be reviewed by qualified personnel before reliance. The Service is a tool to assist, not replace, professional judgment.

10. Third-Party Integrations

The Service may integrate with third-party services (e.g., accounting software, payment processors). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services and make no warranties regarding their availability, accuracy, or security.

11. Service Availability and Support

11.1 Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance or security updates
• Factors beyond our control (internet outages, natural disasters)

11.2 Support

Support is provided based on your subscription plan:

• Starter: Email support, self-service help center
• Professional: Email support with 24-hour response time
• Enterprise: Priority support with 4-hour response time

12. Disclaimers

12.1 No Professional Advice

THE SERVICE DOES NOT PROVIDE ACCOUNTING, TAX, LEGAL, OR FINANCIAL ADVICE. The calculations, reports, and recommendations provided by the Service are for informational purposes only. You should consult with qualified professionals for advice specific to your situation.

12.2 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

12.3 No Guarantee of Results

We do not guarantee that the Service will meet your specific requirements, achieve particular results, or be error-free. Any reliance on the Service is at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Lease Easy AI and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Your Data or content you upload to the Service

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at bkocan15@gmail.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to conflict of law principles.

15.3 Jurisdiction

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Ohio. You consent to the personal jurisdiction of such courts.

15.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Updating the "Last Updated" date
• Sending email notification for significant changes

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lease Easy AI regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet failures.
